These Terms of Service ("Terms") govern your access to and use of Inkpad.ai, an AI-powered document editor service ("Service") operated by Reseda Labs LLC ("Inkpad.ai," "we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are using our Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" will refer to that organization.

2. Eligibility

4. Subscription and Payment
4.1 Subscription Plans

4.2 Payment Processing
All payments are processed by our third-party payment processor, Paddle.com. By providing payment information, you authorize us to charge the applicable fees through Paddle according to your selected subscription plan.
4.3 Billing
- Monthly Plans: Billed monthly in advance
- Annual Plans: Billed annually in advance
- Prices are subject to change with 30 days' notice
- All fees are exclusive of taxes unless otherwise stated
4.4 Refund Requests
All refund requests must be submitted through Paddle's support system (via paddle.net) or using the support link provided in your Paddle receipt email.
Refunds are reviewed case-by-case by Paddle and may be approved or declined based on eligibility under Paddle's terms.
4.5 Free Trials
If we offer a free trial, it will convert to a paid subscription unless canceled before the trial period ends. Trial terms will be specified at signup.
5. Use of Service
5.1 License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes.
5.2 Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not:
- Violate any applicable laws or regulations
- Upload, share, or transmit illegal content
- Infringe any intellectual property rights
- Transmit malware, viruses, or malicious code
- Attempt to gain unauthorized access to our systems

Team and Enterprise accounts may share and collaborate on documents. By sharing content, you grant other authorized users permission to access and edit shared documents according to the permissions you set.
6. User Content
6.1 Your Content
You retain all rights to the content you create, upload, or transmit through the Service ("User Content"). You are solely responsible for your User Content and the consequences of sharing it.
6.2 License to Inkpad.ai
By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to:
- Store, process, and display your User Content to provide the Service
- Share your content with our AI providers (OpenAI and Anthropic) solely to generate responses
- Use your User Content to improve our Service, including training our internal systems (but not third-party AI models)
- Create anonymized, aggregated data for analytics and service improvement
6.3 Content Representations
You represent and warrant that:
- You own or have rights to use all User Content
- Your User Content does not violate these Terms
- Your User Content does not infringe any third-party rights
- You have obtained all necessary consents for any personal information in your User Content
6.4 AI-Generated Content
Content generated by our AI features based on your inputs belongs to you, subject to any third-party rights. You acknowledge that:
- AI-generated content may contain errors or inaccuracies
- You are responsible for reviewing and verifying all AI output
- We make no warranties about AI-generated content
- You assume all risks associated with using AI-generated content
7. Intellectual Property
7.1 Our Property
The Service, including all software, text, graphics, logos, and other content, is owned by us or our licensors and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except as necessary to use the Service.
7.2 Feedback
Any feedback, suggestions, or ideas you provide about the Service become our property. We may use this feedback without compensation or attribution to you.

Payments are processed by Paddle.com according to their terms and policies. We are not responsible for Paddle's actions or policies.

For Enterprise customers, we will enter into appropriate data processing agreements as required by applicable law.
10. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
10.2 AI Disclaimers
WE SPECIFICALLY DISCLAIM ALL WARRANTIES REGARDING:
- The accuracy, reliability, or completeness of AI-generated content
- The suitability of AI suggestions for any particular purpose
- Any decisions or actions taken based on AI output
- The AI's ability to understand context or nuance
YOU ASSUME ALL RISKS ASSOCIATED WITH USING AI-GENERATED CONTENT.
10.3 Service Availability
While we strive for high availability, we do not guarantee uninterrupted or error-free service. Enterprise customers may negotiate custom Service Level Agreements (SLAs) with specific uptime commitments.
10.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INKPAD.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10.5 Essential Purpose
THESE LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
11. Indemnification
You agree to indemnify, defend, and hold harmless Inkpad.ai, its affiliates, and their respective officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your User Content
- Your violation of these Terms
- Your violation of any third-party rights
- Any misrepresentation by you
12. Termination
12.1 Termination by You
You may terminate your account at any time through your account settings. Termination does not entitle you to any refunds. Refunds are reviewed case-by-case by Paddle and may be approved or declined based on eligibility under Paddle's terms.
12.2 Termination by Us
We may terminate or suspend your account at any time, with or without cause or notice. Reasons for termination may include:
- Violation of these Terms
- Extended period of inactivity
- Request by law enforcement
- Discontinuation of the Service
- Risk of legal exposure or harm to other users
12.3 Effect of Termination
Upon termination:
- Your right to use the Service immediately ceases
- We may delete your User Content after 30 days
- You remain liable for all charges incurred
- Sections that by their nature should survive will remain in effect
12.4 Data Export
Before termination, you may export your User Content using our export features. We are not obligated to maintain your data after account closure.
13. Dispute Resolution
13.1 Informal Resolution
Before initiating formal proceedings, you agree to attempt to resolve any dispute informally by contacting us at legal@inkpad.ai.
13.2 Binding Arbitration
If informal resolution fails, ANY DISPUTE ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED THROUGH BINDING ARBITRATION administered by the American Arbitration Association under its Commercial Arbitration Rules.
- Arbitration will be conducted in English
- The arbitrator's decision will be final and binding
- Each party bears its own costs unless the arbitrator determines otherwise
- Judgment on the award may be entered in any court with jurisdiction
13.3 Exceptions
The following disputes are not subject to arbitration:
- Small claims court actions within its jurisdiction
- Injunctive relief for intellectual property infringement
- Disputes that cannot be arbitrated under applicable law
13.4 Class Action Waiver
YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR OTHER REPRESENTATIVE PROCEEDINGS. DISPUTES MUST BE BROUGHT INDIVIDUALLY.
13.5 Opt-Out
You may opt out of arbitration by notifying us in writing within 30 days of first accepting these Terms. This opt-out does not affect any other provisions of these Terms.
14. General Provisions
14.1 Governing Law
These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.
14.2 Venue
For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in California.
14.3 Entire Agreement
These Terms and our Privacy Policy constitute the entire agreement between you and Inkpad.ai regarding the Service, superseding any prior agreements.
14.4 Modifications
We may modify these Terms at any time. We will notify you of material changes by:
- Posting a notice on our website
- Sending an email to registered users
- Requiring acknowledgment for significant changes
Your continued use after modifications constitutes acceptance of the revised Terms.
14.5 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect, and the unenforceable provision will be modified to be enforceable to the maximum extent permitted by law.
14.6 Waiver

Enterprise customers may be subject to additional terms in their Enterprise Agreement, which will prevail over any conflicting provisions in these Terms.
